These Terms constitute a binding legal agreement between you and RSK.Systems governing all access to and use of our platform, services, and associated data products. Read carefully before proceeding.

Definitions & Interpretation

The following definitions apply throughout this Agreement and all associated documents. Capitalized terms not otherwise defined herein shall carry their ordinary meaning under applicable United States law.

"Platform"The RSK.Systems predictive intelligence platform, including all software, interfaces, APIs, data products, and associated infrastructure.
"Services"All capabilities, modules, feeds, reports, and analytical outputs provided by RSK.Systems to Authorized Users.
"Authorized User"An individual or entity granted access to the Platform following completion of the RSK.Systems vetting process.
"Output"Any risk score, prediction, profile, report, or analytical product generated by or derived from Platform operations.
"Proprietary Data"All datasets, models, algorithms, training data, and derived analytical products owned or licensed by RSK.Systems.
"Agreement"These Terms of Use, together with any applicable Order Form, Data Processing Agreement, and Platform Access Agreement.

Acceptance of Terms

By accessing or using the RSK.Systems Platform or any associated Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety. This Agreement is effective upon your first access to the Platform.

⊕ Binding Effect

If you are accessing the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to this Agreement. In such cases, "you" refers to both the individual user and the organization.

If you do not agree to these Terms, you are not authorized to access or use the Platform and must immediately cease all use and destroy any Outputs in your possession derived from the Platform.

Authorized Access

Access to the RSK.Systems Platform is not public and is extended only to individuals and organizations that have completed the RSK.Systems vetting and onboarding process. Access is non-transferable.

  • You may not share, transfer, sublicense, or otherwise grant Platform access to any third party without prior written authorization from RSK.Systems.
  • You are solely responsible for maintaining the confidentiality and security of your access credentials. Any unauthorized access resulting from credential compromise must be reported to RSK.Systems within 24 hours of discovery.
  • RSK.Systems reserves the right to revoke, suspend, or modify access privileges at any time and for any reason, including but not limited to breach of this Agreement, changes in organizational affiliation, or national security considerations.
  • Access granted for specific operational purposes does not extend to use cases outside the scope of those originally authorized. Any change in intended use requires separate authorization.
⚠ Access Warning

Unauthorized access attempts, credential sharing, or misrepresentation of organizational affiliation during the vetting process may constitute a violation of the Computer Fraud and Abuse Act (18 U.S.C. § 1030) and other applicable laws.

Intellectual Property

All Platform components, including but not limited to algorithms, predictive models, training datasets, interfaces, documentation, trademarks, and trade secrets, are the exclusive property of RSK.Systems or its licensors and are protected under United States and international intellectual property law.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for authorized purposes during the term of this Agreement. This license does not constitute a sale or transfer of any intellectual property rights.

  • You may not reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or underlying methodologies of any Platform component.
  • You may not reproduce, distribute, publicly display, create derivative works from, or commercially exploit any Platform outputs, interfaces, or documentation without prior written consent.
  • The RSK.Systems name, logo, and all associated marks are registered trademarks. Use of these marks in any context requires prior written authorization.

Data & Outputs

Platform Outputs — including risk scores, predictive assessments, behavioral profiles, and geospatial analyses — are produced using proprietary models and data. All Outputs are advisory in nature and intended for professional use by trained analysts.

⊕ Output Classification

Outputs generated by the Platform carry an implied sensitivity classification. Authorized Users are responsible for handling Outputs in accordance with their organization's information security policies and all applicable legal requirements governing the handling of sensitive analytical data.

  • Outputs may not be used as the sole basis for enforcement actions, adverse determinations, or deprivations of individual rights without independent human analyst review and corroborating evidence.
  • Outputs may not be shared with unauthorized third parties, published publicly, or incorporated into products or services offered to others without express written permission from RSK.Systems.
  • All Outputs remain the intellectual property of RSK.Systems. Authorized Users receive a limited license to use Outputs for authorized operational purposes only.
  • RSK.Systems does not warrant the accuracy, completeness, or fitness for purpose of any Output for any specific use case. All predictive assessments are probabilistic and subject to inherent uncertainty.

Prohibited Conduct

The following activities are strictly prohibited and constitute grounds for immediate access termination and potential legal action:

🚫 Prohibited — Zero Tolerance

Any use of the Platform to target individuals or groups based on protected characteristics unrelated to legitimate operational objectives; use of Outputs to harass, intimidate, or harm individuals; or any use that violates applicable human rights, civil liberties, or constitutional protections.

  • Attempting to probe, scan, penetrate, or test the vulnerability of Platform infrastructure, APIs, or data systems.
  • Using automated scripts, bots, or crawlers to extract data from the Platform in bulk or at scale beyond authorized API limits.
  • Misrepresenting the source, confidence level, or nature of Outputs when presenting them to third parties, courts, or decision-makers.
  • Using the Platform or its Outputs in connection with activities that violate any applicable local, state, federal, or international law.
  • Attempting to identify, correlate, or re-anonymize any anonymized or pseudonymized data components within the Platform.

Limitation of Liability

To the maximum extent permitted by applicable law, RSK.Systems and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform or any Outputs.

RSK.Systems provides the Platform and all Outputs on an "as-is" and "as-available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

  • The total aggregate liability of RSK.Systems arising out of or related to this Agreement shall not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
  • RSK.Systems assumes no liability for operational decisions made by Authorized Users based on Platform Outputs. Users assume full responsibility for any actions taken in reliance on Platform data.
  • RSK.Systems shall not be liable for any interruption, delay, or failure in Platform availability resulting from circumstances beyond its reasonable control, including acts of God, cyber attacks, government orders, or infrastructure failures.

Termination & Suspension

This Agreement and your access to the Platform may be terminated or suspended at any time by RSK.Systems, with or without cause, and with or without notice. RSK.Systems reserves this right in its absolute discretion.

  • Upon termination, your license to access and use the Platform immediately ceases. You must promptly destroy all Outputs and Platform materials in your possession unless their retention is required by law.
  • Provisions of this Agreement that by their nature should survive termination — including Intellectual Property, Liability, and Governing Law sections — shall survive.
  • Authorized Users may request account closure at any time by contacting info@rsk.systems. Post-termination data handling will be conducted in accordance with RSK.Systems' Privacy Policy.

Governing Law

This Agreement shall be governed by, and construed in accordance with, the laws of the United States of America. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the applicable federal or state courts of the United States.

⊕ Dispute Resolution

Prior to initiating any legal proceedings, you agree to first contact RSK.Systems at info@rsk.systems to attempt good-faith resolution of any dispute. This consultation period shall be no less than thirty (30) days from the date of written notice.

If any provision of this Agreement is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of this Agreement will remain in full force and effect.

Amendments & Updates

RSK.Systems reserves the right to modify these Terms at any time. Material changes will be communicated to Authorized Users via the contact information on file or by posting an updated version at rsk.systems/terms.

  • Your continued use of the Platform following the effective date of any modification constitutes your acceptance of the revised Terms.
  • If you do not agree to a material modification, you must discontinue use of the Platform and notify RSK.Systems of your termination request within fourteen (14) days of the amendment notice.
  • RSK.Systems maintains a version history of all prior Terms. Prior versions are available upon request by Authorized Users for reference purposes.
